1. Acceptance
These Terms form an agreement between you and VoxMinutes Developer ("we", "us") regarding your use of the VoxMinutes application and related services ("the App").
By downloading, installing, launching or otherwise using the App you confirm that you have read, understood and accepted these Terms. If you do not agree, stop using and uninstall the App.
If you are under 18, please read these Terms with a parent or guardian and use the App only with their consent.
2. The service
VoxMinutes is a local-first meeting-notes tool offering two categories of features.
2.1 Local features — free and offline
Microphone and system-audio recording; local speech recognition, translation and summarization; history management, re-transcription, merging, export and PDF printing.
Local features consume no credits and require no network connection (except to download models the first time). Models run on your own computer.
2.2 Remote features — consume credits
Remote speech recognition (streaming and batch), remote translation, remote summarization and speech synthesis. These require a license key and the "Enable remote service" switch.
Remote features depend on third-party AI providers. Their availability, latency and accuracy are outside our control and we cannot guarantee them.
2.3 Your own "Custom API"
You may configure your own OpenAI-compatible or Anthropic-compatible endpoint. In that case traffic does not pass through our servers, no credits are consumed, and availability, cost and data handling are a matter between you and that provider.
3. Account and license key
- The App requires no registration. When you first claim free credits we create an anonymous account based on your operating system's device identifier.
- The license key is bound to that account. Only one device may use it at a time.
- Keep your license key confidential. You are responsible for credit losses caused by its disclosure.
- Changing computers or reinstalling the OS changes the device identifier. Contact voxmin@qq.com to migrate (the previous device will stop working after migration).
- If we detect abnormal usage (for example one key used concurrently on many devices) we may temporarily freeze the key pending verification.
4. Credits, purchases and refunds
- Credits are a virtual unit of measurement for remote usage. They are not currency, and cannot be transferred, withdrawn, redeemed for cash or goods, or earn interest.
- Credits are obtained by purchasing recharge cards from our card shop, or through promotional grants.
- Free credits: new users may claim a free grant (currently 100 credits, valid 90 days). We may change the grant rules; grants already issued are unaffected.
- Refunds:
- Credits you purchased and have not consumed may be refunded in full if you contact us within 7 days of purchase;
- Refund requests and license-key migration for a new computer are both handled manually by a human reviewer; please email the contact address above and we will reply within 15 business days;
- Consumed credits are non-refundable;
- Free/granted credits are non-refundable and cannot be exchanged for cash;
- Refunds are returned to the original payment method; timing depends on the payment channel.
- Prices and billing rules are shown live in the App's account page. We may adjust prices prospectively; adjustments do not affect credits you already purchased.
- We will make reasonable efforts not to charge for calls that fail due to upstream errors, timeouts or interruptions. If you believe you were charged incorrectly, contact us within 7 days and we will verify and refund the credits.
5. Acceptable use
You must not:
- Record, upload or process content that is illegal or that infringes the rights of others;
- Record a meeting without the consent of the participants — whether and how to inform participants is your responsibility and your legal risk;
- Record or distribute other people's trade secrets or private information without authorization;
- Circumvent billing or usage limits by reverse engineering, cracking, tampering or replaying traffic, or make automated bulk calls to the remote service;
- Resell, rent or lend your license key, or use it outside the App;
- Attack the App, distribute malicious modified versions, or act in our name;
- Use the App for medical diagnosis, legal advice or financial investment decisions, or rely on its output for decisions requiring professional qualifications.
You are solely responsible for the content you record and process. If your conduct exposes us to third-party claims or administrative penalties, you agree to indemnify us for the resulting losses.
6. Intellectual property and open source
- The App's source code is published under the AGPL-3.0 licence. You may obtain, use, modify and distribute the source code subject to that licence.
- The AGPL-3.0 licence grants you no rights to use the "VoxMinutes" name, logo, icons or other brand assets in your derivative works or marketing. Contact us for written permission.
- Recordings, transcripts and summaries you produce with the App belong to you. We claim no rights over them (other than the forwarding described in the Privacy Policy).
- Third-party components (FFmpeg, sherpa-onnx, ONNX Runtime, llama.cpp and others) are governed by their own open-source licences.
7. Third-party services
Remote features rely on third-party AI providers (see section 4 of the Privacy Policy). You understand and agree that:
- Third-party services may change, rate-limit, reprice or shut down at any time;
- Outages, errors or content-moderation refusals at a provider may make remote features unavailable or their output incomplete; we will surface this where possible but accept no liability;
- When you use a Custom API, your relationship with that provider is your own.
8. Disclaimers and limitation of liability
- AI output is not guaranteed to be accurate. Speech recognition, translation and summarization are generated by machine-learning models and may contain errors, omissions, hallucinations or misunderstandings. Do not use the output as a formal document without human review.
- The App is provided "as is". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
- We provide no SLA for remote services. We are not liable for losses caused by:
- third-party provider failures, rate limits or policy changes;
- your network, device, operating system or security software;
- your own mistakes (for example deleting a recording, or stopping a recording accidentally);
- force majeure.
- Back up important recordings yourself. Recordings live on your computer; we provide no cloud backup and accept no liability for data loss.
- To the maximum extent permitted by law, our total liability to you is limited to the amount you actually paid in the 12 months preceding the claim, or RMB 100 if you paid nothing.
- Nothing in this section excludes liability that cannot lawfully be excluded (for example for wilful misconduct or gross negligence).
9. Changes, suspension and termination
- We may add, modify or remove any feature at any time (including remote models, promotional grants and pricing).
- We may suspend or terminate your access if you breach these Terms, handling any remaining credits under section 4.
- If we decide to discontinue the remote service entirely, we will announce it at least 30 days in advance in the App or on our website and refund unconsumed purchased credits under section 4.
- Local features do not depend on our servers. Even if the remote service ends, you can keep using local features and the data you already recorded.
10. Changes to these Terms
We may update these Terms. We will notify you in the App or on our website and update the effective date above. Material changes (especially to refunds or liability) will be announced more prominently. Continued use constitutes acceptance; if you do not accept, stop using and uninstall the App.
11. Governing law and disputes
- These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-law rules).
- Disputes shall first be resolved through good-faith negotiation; failing that, either party may bring proceedings before the competent court at the operator's domicile.
- If you are located outside mainland China you must also comply with your local laws. Nothing in these Terms excludes mandatory rights you have under your local consumer protection law.
12. Miscellaneous
- These Terms and the Privacy Policy constitute the entire agreement between you and us.
- If any provision is held invalid, the remaining provisions remain in effect.
